A day in the life

As an International Contracts Manager, you will manage a wide variety of complex third-party partner and major vendor relationships across multiple countries and regions in support of ADP's global strategies and product/service objectives. You will negotiate, draft, close, and manage complex cross-border arrangements - ensuring compliance with local laws, regulations, and business practices - to secure the necessary relationships for current and future ADP needs worldwide.
In this role, you will provide consultative support to ADP senior and executive management preserving ADP's business flexibility across jurisdictions, maximising ADP's leverage and benefit in international markets, negotiating strategic partner and vendor transactions, complying with local and international regulatory requirements, reducing ADP's financial and litigation risk on a global scale, and other strategic initiative impacts. + Negotiates, closes, and drafts related agreements and additional types of transactions as required as ADP expands into new international markets, launches new products and services globally, and closes strategic cross-border transactions and acquisitions.
+ Conducts direct negotiations and leads internal project and strategy meetings as required, including coordination across time zones and geographies.
+ Advises and provides consultative support to ADP senior/executive management on major international business, legal, regulatory, and financial issues of relationships or specific cross-border transactions.
+ Provides creative, solution-oriented input to manage business, legal, regulatory, and financial aspects of international relationships and specific transactions while ensuring optimal results with minimal exposure and consequence to ADP across all operating jurisdictions.

+ Provides financial analysis of transactions for NOI and P/L impacts and planning/budgeting, including cross-border financial considerations.
+ Advises senior/executive management regarding funding requirements for current and future ADP product/service and internal operations needs across regions.
+ Keeps abreast of global market, industry, regulatory, legal, and business trends - including country-specific developments - as well as ADP's international product/service landscape and third-party strategic partner developments which can impact ADP's global business and strategy.
+ Proactively responds to trends and developments to capitalise on opportunities and eliminate any adverse business impact across jurisdictions.
+ Recommends policy and relationship strategy changes, builds new and re-engineers existing business processes and cycles, and manages processes to ensure ADP compliance with negotiated arrangements in all operating countries.
+ Oversees a portfolio of contracts spanning multiple countries and regions, ensuring consistency of terms while accommodating local legal and regulatory requirements.
+ Collaborates with in-country legal counsel, compliance teams, and business stakeholders to navigate local contracting practices, data-privacy regimes, and trade regulations.
+ Identifies and mitigates cross-border risks including foreign-exchange exposure, sanctions compliance, export controls, and jurisdictional conflicts.
+ Drives harmonisation of contract templates and playbooks to enable efficient and scalable international deal-making.
+ Manages projects and builds/leads cross-functional, multi-regional internal teams to ensure timely and effective results.
+ Performs other related duties as assigned.
+ **Experience.** You have 8+ years of experience in relevant skills gained and developed in the same or similar role, including 5 years drafting and negotiating multiple concurrent, complex commercial agreements across international jurisdictions.

**Introduction**
Join our IBM Corporate Security team as a Senior International Investigator, and play a critical role in protecting IBM's people, assets, and innovation. You will lead complex investigations fraud, insider risk, policy violations, and other threats to the business. You will work closely with internal stakeholders including Legal, HR, Compliance, and regional leadership, as well as external partners such as law enforcement and industry peers. As a senior member of the team, you will manage and delivery high-quality investigative outcomes, leveraging data analysis, open-source intelligence, and structured investigative methodologies. You will also provide strategic insights, identify emerging risks, and contribute to continuous improvement of investigative proceses and security controls.
**Your role and responsibilities**
The IBM Legal department and other internal business leaders rely on sound fact-based information to make decisions pertaining to crimes and other illegal activities affecting IBM, joint investigations with external investigative bodies, and other contentious matters. Investigations professionals are trained in the rules of evidence, investigative techniques, and relevant laws to perform as 'fact finder' and investigations liaison for IBM.
As a Senior International Investigator (Corporate Security Investigations), you will have the following roles and responsibilities:
* Plan, coordinate, and conduct investigations of alleged and suspected violations of law including theft, fraud, computer crimes, and workplace violence.
* Procure information to assist senior leaders in understanding IBM's exposures in all matters under investigation.
* Serve as a subject matter expert on investigative strategies, and provides advice and counsel to the business about appropriate approaches for individual engagements.
* Employ interview techniques to question internal and external individuals about facts pertaining to matters under investigation.
* Establish relationships with law enforcement and other investigative bodies to enable the Investigations team to act as liaison to all external investigators.
* Where appropriate manage relations with other investigative bodies within IBM as well as working closely with the Intelligence and Insider Trust functions.
* Be able to work with all different units and, where necessary, provide leadership. An investigator always works as part of the global team.
* Investigators manage complex investigations as projects, engaging all relevant stakeholders and leading the investigation to conclusion. This involves compiling complex facts into digestible reports for internal, executive, and external consumption, and analyzing past engagements for continuous improvement, and giving testimony before judicial and legislative bodies in legal proceedings pertaining to relevant investigations.
* Be responsible for conducting Root Cause Analysis, to identify underlying issues that resulted in an incident or enabled policy violations, and articulate and supervise the implementation of improvements to IBM's control posture.
* Be responsible for the evaluation of new investigative aids and techniques, and for advising the business on the appropriateness of employing new approaches within IBM.
* Information collected and maintained may be subject to legal, regulatory, or corporate policies; practitioners must be aware of all relevant provisions and maintain information accordingly.
**Required technical and professional expertise**
* Experience (5+ years) as a Senior Investigator is a prerequisite.
* Professional accredited investigative interviewing skills and experience.
* Must be able to relate and present cases, to appropriate external authorities including Law Enforcement officials in any EMEA country.
* Strong IT skills across operating systems, including standard Office tools such as Word, Excel etc.
* Demonstrate innovative and creative thinking as well as problem-solving skills.
* Demonstration of a continuing ability to self-teach.
* Ability to take end-to-end ownership of engagements.
* Attention to detail and structured mindset to manage information logically.
* Strong team player comfortable in joining a small distributed team but with the ability to work independently.
* Generally a strong affinity with information technology, specifically an understanding of the cyber-crime environment.
* Fluent in English and Spanish.
* Readiness to travel up to 10% annually (travel may be required as per business demand).
**Preferred technical and professional experience**
* Relevant professional investigation qualifications are a plus.
* Experience in the hands-on review and analysis of potentially large volumes of data.
* Experience in the use of analytical tools and open source tools, to analyse and present data.
* Experience in working in a multi-national company.
* Virtual / hybrid work environment is preferred.

**Job Description Summary**
The Senior Contract Manager, reporting in solid line to the Grid Solutions Regional Contract Management Leader and in dotted line to the Project Director, and in strict cooperation with the Project Team, assumes overall responsibility for all contractual activities in the assigned Projects portfolio.

**Main Duties**
+ Thorough analysis of the contract and elaboration, with the Project Director, of the Project's contract and commercial strategy.
+ Presentation to the Project Team of the contractual analysis, commercial execution strategy issuance of the Contract Questionnaire, Contract Commercial Plan (CCP) and other contract analysis deliverables as per Contract Management processes
+ Implement contractual procedures, particularly regarding claims, insurance, variation orders, correspondence and notifications.
+ Identify GE as well as customer/consortium and other third-party contract obligations and develop and implement the Project contract commercial plan, including Project claim strategy.
+ Proactively support Project risk and opportunity identification and analysis.
+ Assume responsibility for all Project contractual activities from hand-over from Sales until all contractual obligations are completed and all contractual issues are resolved/settled.
+ Ensure notices are given in line with contract requirements.
+ Proactively manage claims to/from customers, subcontractors/suppliers and partners, incl. negotiations and settlements.
+ Manage Project variation requests/orders.
+ Manage Project insurances: ensure contract compliant insurance coverage; submit, monitor and settle of insurance claims in accordance with the policies.
+ If requested, provide support and guidance and training to Project team on general contractual issues. Clarify contractual/legal enquiries, if necessary, referring to Legal.
+ Support the Sales team in the tender phase, including drafting of contract qualifications and attend to contract negotiations.
+ Provide support in the event of dispute.
+ Report on Project claims and variations, as well as potentially critical contract issues to management and, as required, to project control, finance and audit staff.
+ Report to management for the approval of variation orders, amendments and settlements in accordance with the applicable Delegation of Authority.
**Experience and Knowledge**
+ Proven experience/track record in claim preparation and negotiation (EOT claim, global claim, contract renegotiations etc) including elaboration of claim strategy.
+ Knowledge of delay analysis principles (critical path analysis, concurrent delay principles etc)
+ Understanding of contract law
+ Understanding of Project risk management
+ Technical understanding
+ Experience in high-level negotiations
+ Extensive experience of hands-on contract management experience in complex infrastructure projects (power generation and power transmission preferred)

**The Position**
**The Senior Security Engineer** plays a vital role in protecting Roche Manufacturing systems and networks against cybersecurity threats. This role is responsible for local architecture and engineering support, helping system owners and administrators in keeping their manufacturing environment up to date with the latest Roche Manufacturing Cybersecurity standards, baselines and industry best practices.
+ Taking part in technical design reviews, integration, testing, and documentation activities concerning new OT systems and/or changes to existing manufacturing system or infrastructure
+ Supporting development of Manufacturing Cybersecurity standards and baselines OT Cybersecurity Advisor during OT System planning phase and OT System Risk Assessment process
+ Leveraging secure, corporate-compliant AI accelerators and enterprise-ready platforms to automate routine log analysis, scripting, and threat modeling, effectively minimizing defensive response times against machine-speed cyber threats.
+ Advising System Owners in selecting appropriate security measures to mitigate risk
+ Coordinating of OT services and activities delivered by Vendors
+ Reviewing local technical designs as part of Manufacturing Cybersecurity Requests (in ServiceNow)

Basic Qualifications
- Bachelors, Masters or Diploma in Computer Science, Information Systems Management, Mathematics, Accounting/Auditing, Cybersecurity or other related fields.
- 10+ years of working experience in performing and/or participating in IT audits and assessments of highly technical cloud-based environments.

o Gestión de riesgos: Evaluar vulnerabilidades y desarrollar estrategias para mitigarlas.
o Seguridad técnica: Implementar medidas de seguridad, como el análisis de malware, la gestión de parches y la configuración segura de sistemas y redes.
o Respuesta a incidentes: Detectar, responder y recuperarse de ataques para minimizar el impacto en la organización.
**Formación y certificaciones valorables**
o Estar en posesión de certificaciones CISA, CISM, CISSP o similares
o Certificaciones en AI (IBM Watson Knowledge Catalog, Microsoft Fabric, Google Cloud, Datorama, Elastic Stack, o similares ).
o Machine Learning y Deep Learning.
