Job Opportunity : Legal Counsel – European Team
Our client, a dynamic organisation in the insurance sector, is seeking a skilled Legal Counsel to join their newly created European legal team. This role reports to the European General Counsel and involves close collaboration with management and legal teams across over 20 countries.
Key Responsibilities :
Advise on, negotiate, and draft various contracts, including terms of business and supplier agreements.
Support the establishment of new entities and branches while ensuring compliance with regulatory requirements.
Manage and advise on contentious matters, including employment and supplier disputes.
Serve as a contact point for regulatory inquiries related to insurance intermediaries.
Collaborate with compliance teams to implement new laws and regulations.
Harmonise legal standards across regional teams and optimise legal operations.
Oversee external counsel to ensure cost-effective legal advice.
Qualifications :
Qualified solicitor or equivalent with a minimum of 5 years of post-qualification experience in insurance law (in-house or private practice).
Strong understanding of the European regulatory framework for insurance intermediaries.
Excellent drafting, negotiation, and communication skills.
Proactive, reliable, and able to manage responsibilities independently.
Fluent in English; proficiency in another European language is a plus.

About the Role

Overview

What your work will consist of:

  • Providing timely review, drafting and negotiating agreements of varying complexity, joint venture, intellectual property and manufacturing license agreement, R+D agreements, collaboration agreements, supplier contracts, etc.
  • Providing comprehensive legal advice and support in Spanish Public Procurement law, including contracting with the Administration prior to the bidding process, during the bidding process, and in the execution and effects of the contract, in compliance with the applicable internal processes and relevant regulations.
  • Demonstrating a strong understanding of governance and corporate principles and operations, including but not limited to regulatory compliance, risk management, and corporate governance documentation; ability to effectively navigate complex corporate structures and contribute to strategic decision-making processes.
  • Providing legal advice on intellectual and industrial property law as well as IPR management, including the maintenance, management of patents, analysis of IPR related agreements and clauses, protection of current IPRs, etc.

What is the profile required?
  • Qualified lawyer in Spanish jurisdiction. A degree in Economics, Business Administration or other fields is also valuable.
  • Minimum of 6 to 8 years' experience, working 3 years minimum with public law and experience with commercial law, obtained in mid-size or large law firms (preferably international law firms) or within a legal department of multinational corporation with high level of English (C1 or similar).
  • Fluent written and spoken in English. Additional languages apart from English will be also valuable.
  • Expertise in Spanish Public Procurement law, Company Law Regulations and Compliance best practices both for Spain and in an international environment.
  • Drafting experience, obtained in law firm or in-house legal department.
  • Work experience in more than one jurisdiction/country.
  • Team player willing to work with a collaborative mindset.
  • Ability to anticipate needs of the business and with flexible and dynamic approach.

  • Offer guidance on GDPR-related matters, including data protection agreements and compliance questions.

This is you?

  • You hold a Master’s degree in Belgian law. Knowledge of other jurisdictions is a plus, but not required.
  • You bring at least 2-3 years of experience as an attorney or in-house legal counsel, with a focus on commercial law, contract law, and/or IT law.
  • You have strong communication skills in Dutch, French, and English, both written and spoken.

¿Cuál será tu misión?

Darás soporte a nuestros centros operativos en la gestión de asuntos legales relacionados con todos nuestros clientes y nuestras empresas, asegurando el cumplimiento de las leyes y regulaciones aplicables.

¿Qué harás en tu día a día?

  • Ofrecer orientación y apoyo legal en diversos asuntos relacionados con propiedades (Real Estate), arrendamientos, cuestiones financieras y administración de inmuebles, incluyendo contratos, cumplimiento de la normativa de protección al consumidor y temas relacionados con procesos de expansión y adquisiciones.
  • Gestionar poderes notariales.
  • Colaborar en asuntos relacionados con contratos de construcción desde la perspectiva del desarrollador.
  • Participar en procesos de due diligence legal.
  • Mantenerte actualizado/a sobre las leyes y regulaciones aplicables a las transacciones inmobiliarias y asesorar a la empresa sobre posibles riesgos legales.
  • Gestionar reclamaciones de consumidores presentadas ante autoridades de protección al consumidor y coordinar a los asesores legales en procedimientos judiciales.
  • Presentar informes mensuales sobre el número y la naturaleza de las consultas legales.

¿Qué esperamos de ti?

  • Titulación en Derecho. Se valorarán estudios de máster, posgrado u otros complementarios.
  • Experiencia mínima de 3 años en un puesto similar, con enfoque en operaciones inmobiliarias y mercantiles.
  • Castellano e inglés imprescindibles; el francés será valorado como un plus.
  • Conocimientos de derecho inmobiliario, urbanístico, mercantil y financiero, incluyendo adquisiciones de propiedades, proyectos de desarrollo, contratos de construcción, arrendamientos, gestión de inmuebles, contratos mercantiles y resolución de conflictos con clientes.
  • Habilidades analíticas y de resolución de problemas.
  • Excelentes habilidades de comunicación oral y escrita.

Position Overview:

Following a recent acquisition, this Legal Counsel role is a pivotal member of our legal team, responsible for comprehensively leading and managing all legal affairs for our Spanish operations. This includes providing dedicated support for key strategic initiatives in Spain and championing Group-level compliance within the Spanish entity. The role will also extend to supporting new company establishment and business rollout efforts in Portugal. This position requires strong independent project-managing abilities, robust legal research and analytical skills, and excellent communication abilities to effectively collaborate with internal teams, group headquarters, and external stakeholders including governmental departments.

Responsibilities:

Comprehensive Spain Legal Operations :

  • Draft, review, negotiate, and finalize a wide range of contracts, agreements, and other legal documents essential for the company's business operations in Spain, including but not limited to commercial agreements, vendor contracts, partnership agreements, and potentially leases or construction agreements as relevant to the business.
  • Organize and manage the contract approval matrix and ensure systematic archiving of legal documents for the Spanish entity.
  • Provide dedicated and specialized legal support for key strategic projects and initiatives within Spain, advising on all related legal and regulatory aspects from inception to completion.

Legal Risk Management & Compliance (Spain Focus):

  • Conduct legal research and manage legal risks in relation to the company's operations in Spain (both offline and online, if applicable).
  • Independently manage and handle comprehensive legal projects and advisory related to Spanish regulatory requirements, including but not limited to importation/exportation compliance, product labeling/marking (if applicable), advertising compliance, data protection (GDPR), employment law, and consumer protection requirements.
  • Develop, implement, and monitor compliance programs and policies for the Spanish entity, ensuring adherence to local laws (e.g., Spanish Companies Act, GDPR, anti-bribery laws) and Group-level compliance standards.
  • Manage corporate secretarial matters for the Spanish entity, ensuring good corporate governance.

Portugal Company Establishment & Business Rollout Support:

  • Act as a key legal partner supporting the Group's establishment strategies and business rollout in Portugal.
  • Provide legal due diligence, risk assessment, and strategic advice for market entry, new business setups, and potential M&A activities in Portugal, coordinating with HQ and external counsel as needed.

Intellectual Property Protection:

  • Oversee the protection of the company's intellectual property rights (trademarks, copyrights, patents, etc.) in Spain and support regional IP strategies.
  • Review and negotiate IP licensing and related contracts and agreements to ensure compliance with applicable laws and in the best interest of the company.

Stakeholder & External Counsel Management:

  • Liaise effectively with external legal counsel in Spain, Portugal, and other relevant jurisdictions and government agencies to ensure smooth operations and compliance with legal obligations.
  • Collaborate with cross-functional teams (local, regional, and Group) to understand business needs and provide practical, commercially-sound legal solutions.

Headquarters & Group Legal Liaison:

  • Assist the headquarters (HQ) legal team with legal affairs in relation to auditor's reviews, adjustments of shareholding structure (if applicable to Spain/Portugal), M&A activities affecting Spain or Portugal, and other legal matters as assigned by the HQ legal team from time to time.

Knowledge Sharing & Development:

  • Participate in and, where appropriate, conduct legal training sessions to enhance the legal knowledge and compliance awareness of internal teams in Spain.

Qualifications:

  • Bachelor's degree or above in Law (LLB, LLM, or JD preferred) from a recognized university.
  • Eligibility to practice law in Spain; alternatively, qualification in another civil law jurisdiction with substantial experience in Spanish law.
  • Minimum of 5 year of relevant legal experience, ideally with a combination of law firm and in-house counsel experience, preferably within a multinational corporation. Experience in (mention specific industry if relevant, e.g., tech, retail, manufacturing) is a plus.
  • Strong legal research and analytical skills, with the ability to independently manage projects, interpret, and apply complex legal provisions relevant to Spain and Portugal.
  • Solid understanding of Spanish contract law, commercial law, corporate law, data privacy (GDPR), and relevant industry regulations.

Desired Skills:

  • Experience working in a transnational corporation and familiarity with navigating matrix organizations.
  • Excellent command of English and Spanish (both written and spoken) is a must. Proficiency in Portuguese would be an advantage.
  • Proven ability to work independently, take ownership of assigned tasks, and manage multiple priorities in a fast-paced environment.
  • Creative and pragmatic thinker with the ability to provide innovative yet practical legal solutions to complex business challenges.
  • Positive attitude, commercially astute, and results-oriented approach, with a strong commitment to the company's values and mission.
  • Proficient in legal software and technology tools, as well as Microsoft Office suite.
